All services are provided on an “as-is” and “as-available” basis unless otherwise explicitly stated in writing.


2. Eligibility


By using Biscrest services, you represent that:

Lead volume

Rankings

Sales

Profitability

Business growth

Advertising performance

Conversion rates

Customer retention

Market dominance

Specific outcomes of any kind


Any examples, projections, estimates, case studies, screenshots, testimonials, or statements are illustrative only and do not guarantee future performance.


Business performance depends on numerous external factors outside Biscrest’s control.


4. Client Responsibilities


Clients remain solely responsible for:

Business operations

Sales performance

Customer service

Pricing

Legal compliance

Industry compliance

Follow-up speed

Lead handling

Advertising approval

Offer quality

Internal fulfillment

Staffing

Licensing

Taxes

Consumer compliance

Data accuracy

Platform access management


Failure to properly operate your business does not create liability for Biscrest.


5. CRM & SaaS Subscription Terms


5.1 14-Day Free Trial


Certain Biscrest CRM or SaaS services may include a 14-day free trial.


Unless otherwise stated:


Billing begins automatically at the conclusion of the trial period

Clients are responsible for canceling prior to trial expiration

Failure to cancel before billing constitutes authorization for payment processing


Free trials are limited to one per business entity unless explicitly approved.


Biscrest reserves the right to deny or terminate free trial abuse, duplicate accounts, fraudulent signups, or system manipulation.


5.2 Subscription Billing


CRM and SaaS subscriptions may renew automatically monthly unless canceled.


By subscribing, you authorize recurring billing using the payment method on file.


Failure to use the platform does not eliminate payment obligations.


5.3 Suspension & Termination


Biscrest may suspend or terminate access without notice for:

Non-payment

Fraudulent activity

Abuse

Harassment

Chargebacks

Unauthorized use

Excessive system abuse

Illegal activity

Violation of these Terms

Termination does not waive outstanding balances owed.


5.4 Platform Availability


Biscrest does not guarantee uninterrupted platform access.


Downtime, outages, third-party failures, maintenance periods, carrier disruptions, API issues, and software interruptions may occur.


Biscrest is not liable for losses caused by outages or interruptions.


6. Website Services Terms


6.1 Website Development


Website services may include:

Funnel development

SEO structuring

Integrations

Hosting setup

CRM integrations

Mobile optimization

Timelines are estimates only.


Delays caused by client inactivity, missing information, approvals, content delays, domain issues, or third-party providers are not the responsibility of Biscrest.


6.2 30-Day Money-Back Guarantee


Certain website packages may include a 30-day money-back guarantee.


Unless otherwise explicitly stated in writing:

The guarantee applies only to the monthly service fee paid directly to Biscrest.


The guarantee does not apply to:

Domain purchases

Advertising spend

Third-party software costs

Hosting fees paid externally

Premium plugins

API fees

SMS usage fees

Email usage fees

Call usage fees

Custom development work

Rush projects

External contractor costs

Completed custom deliverables


To qualify for the guarantee:

The request must be submitted within 30 calendar days of service activation

The account must remain in good standing

The client must not have initiated a chargeback

The client must cooperate reasonably during onboarding and setup

The client must not engage in abusive, fraudulent, deceptive, or manipulative conduct


Biscrest reserves sole discretion to deny refunds where abuse, fraud, manipulation, or bad-faith conduct is suspected.


6.3 Intellectual Property & Website Ownership


Unless otherwise agreed in writing:

Biscrest retains ownership of proprietary systems, templates, automations, frameworks, backend configurations, custom

systems, workflows, scripts, processes, and internal methodologies

Clients retain ownership of their original business content and branding materials


Certain systems may require active subscriptions to remain functional.


Failure to maintain subscriptions may disable hosted functionality.


7. Paid Advertising Services Terms


7.1 No Guaranteed Advertising Results


Biscrest does not guarantee:

Leads

Sales

Return on ad spend

Cost per lead

Conversion rates

Revenue

Profitability

Campaign success

Account approval

Ad delivery consistency

Advertising platforms operate independently and may:

Reject ads

Restrict accounts

Suspend accounts

Increase costs

Limit targeting

Restrict industries

Experience outages


Biscrest is not responsible for actions taken by third-party advertising platforms.


7.2 Ad Spend Responsibility


Advertising spend is separate from Biscrest management fees unless explicitly stated otherwise.


Clients remain fully responsible for:

Ad budgets

Platform charges

Billing methods

Payment failures

Advertising account balances

Advertising spend is non-refundable.


7.3 Performance Variability


Advertising performance may fluctuate due to:

Competition

Seasonality

Platform changes

Consumer behavior

Offer quality

Sales performance

Economic conditions

Tracking limitations

Industry restrictions


Temporary performance declines do not constitute breach of service.


8. SEO Services Disclaimer


SEO rankings are influenced by factors outside Biscrest’s control.


Biscrest does not guarantee:

First-page rankings

Specific keyword positions

Traffic volume

Indexed pages

Google Business Profile approval

Permanent profile visibility

Map pack rankings


Search engines may update algorithms or policies at any time.


Biscrest is not liable for ranking fluctuations, indexing issues, profile suspensions, or platform penalties.


9. Payment Terms


9.1 Payment Authorization

By purchasing services, you authorize Biscrest to charge all applicable fees using the payment method provided.


9.2 Failed Payments


Failure to successfully process payment may result in:

Service interruption

Suspension

Termination

Removal of hosted services

Collection activity

Clients remain liable for unpaid balances.


9.3 No Retroactive Refunds


Except where explicitly required by law or covered under a valid written guarantee, payments are non-refundable.

Failure to use services does not qualify for refunds.


10. Chargebacks & Payment Disputes


10.1 Unauthorized Chargebacks


Initiating a chargeback, reversal, or payment dispute without first attempting to resolve the matter directly with Biscrest may constitute breach of these Terms.


Biscrest reserves the right to:

Suspend services immediately

Terminate accounts

Revoke access

Submit evidence to financial institutions

Recover fees, legal costs, administrative costs, and collection costs


Evidence submitted may include:

Signed agreements

Call recordings

Emails

SMS conversations

IP logs

Login activity

Access logs

Usage records

Screenshots

Onboarding records

CRM activity

Delivery confirmations


10.2 Fraudulent Disputes


Fraudulent disputes, false claims, service abuse, or intentional misuse may result in:

Permanent service bans

Legal escalation

Collection proceedings


Reporting to relevant processors or authorities where permitted


11. Limitation Of Liability


To the maximum extent permitted by law:


Biscrest shall not be liable for:

Lost revenue

Lost profits

Lost opportunities

Lost leads

Indirect damages

Consequential damages

Advertising losses

Business interruption

Reputation damage

Data loss

SEO losses

Third-party platform actions

Carrier failures

Software failures


Total liability shall not exceed the amount paid directly to Biscrest within the previous 30 days for the affected service.


12. Indemnification


Clients agree to defend, indemnify, and hold harmless Biscrest and its owners, contractors, employees, affiliates, and partners from claims arising out of:

Client business operations

Advertising claims

Consumer complaints

Regulatory violations

Illegal content

Data misuse

Client negligence

Platform misuse

Client communications

Product or service disputes


13. Arbitration & Dispute Resolution


Any dispute arising under these Terms shall first be attempted to be resolved informally.


If unresolved, disputes may be resolved through binding arbitration where legally enforceable.


Clients waive participation in class-action lawsuits to the maximum extent permitted by law.


14. Force Majeure


Biscrest shall not be liable for delays or failures caused by circumstances beyond reasonable control, including:

Internet outages

Platform outages

Carrier failures

Natural disasters

Government actions

Cyberattacks

Labor disruptions

Third-party provider failures


15. Modifications

Biscrest may modify these Terms at any time.

Continued use of services after modifications constitutes acceptance of revised Terms.


16. Entire Agreement

These Terms constitute the entire agreement between the parties regarding use of Biscrest services unless superseded by a separate signed agreement.
